Dado lo anterior, el Directorio es elegido por la asamblea en junta general ordinaria de accionistas. Sus miembros detentan amplias y absolutas facultades para dirimir los asuntos en los que se desenvuelve la empresa en los \u00e1mbitos econ\u00f3mico, pol\u00edtico y legal. Este \u00f3rgano\u00a0<\/span><span style=\"font-weight: 400;\">est\u00e1 integrado por 5 miembros cuya duraci\u00f3n en el cargo es de 3 a\u00f1os. Sus principales funciones son cuidar, gestionar y administrar los bienes y recursos de la organizaci\u00f3n y liderar, guiar y consolidar el equipo de trabajo de la compa\u00f1\u00eda. Al finalizar el per\u00edodo, el Directorio de Landes debe renovarse por completo o reelegirse.<\/span><\/p><p><span style=\"font-weight: 400;\">La designaci\u00f3n y selecci\u00f3n del m\u00e1ximo \u00f3rgano de gobierno y sus comit\u00e9s es responsabilidad de los accionistas de la empresa, quienes eligen de manera discrecional. Sus\u00a0 tareas esenciales son la\u00a0 revisi\u00f3n de los estados financieros mensuales y los principales indicadores de la actividad pesquera, tanto en materia econ\u00f3mica, como ambiental y social. Entre otros temas a abordar se distinguen proyectos de inversi\u00f3n, nuevos negocios, regulaciones, participaci\u00f3n en entes sectoriales y planes comunicacionales.\u00a0<\/span><\/p><p><span style=\"font-weight: 400;\">Otra facultad del Directorio es la oportunidad y conveniencia de contratar capacitaciones y asesor\u00edas en temas de inter\u00e9s o relevantes para el negocio. Adem\u00e1s, le corresponde pronunciarse sobre los estados financieros mensuales y anuales conforme a las normas establecidas por el Directorio y a los principios y sistemas de contabilidad IFRS.\u00a0 Dentro de sus atribuciones, este \u00f3rgano tambi\u00e9n debe aprobar la creaci\u00f3n de oficinas, agencias o representaciones dentro del pa\u00eds o el extranjero; y conferir poderes generales al Gerente General y especiales a otros ejecutivos o a abogados de la empresa y, para casos espec\u00edficos, a terceras personas. fijado por la Junta de accionistas y consiste en una remuneraci\u00f3n fija mensual independiente de los resultados financieros de la empresa.\u00a0<\/span><\/p><p><span style=\"font-weight: 400;\">Los sueldos de altos ejecutivos son atribuci\u00f3n del Directorio, \u00f3rgano que puede fijar las remuneraciones del Gerente General y los dem\u00e1s colaboradores. De la misma manera que puede acordar seg\u00fan crea convenientes comisiones o gratificaciones.<\/span><\/p><p><span style=\"font-weight: 400;\">Como una manera de reducir la desigualdad y aportar a la consecuci\u00f3n del ODS 10 Landes se comprometi\u00f3 en 2020\u00a0 a realizar un estudio de remuneraciones dentro de la empresa. Dentro de los delitos que se sancionan figuran el cohecho, lavado de activos, negociaci\u00f3n incompatible, contaminaci\u00f3n de aguas, pesca ilegal y comercializaci\u00f3n de productos vedados, entre otros.
